1. Acceptance of Terms

Welcome to CogniTrained, a product of Socife Technologies, India ("Socife," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the CogniTrained platform, including any associated websites, mobile applications, content, features, and services offered by Socife (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. These Terms constitute a legally binding agreement between you and Socife Technologies.

2. Platform Description

CogniTrained is a comprehensive enterprise framework training platform designed to transform how organizations develop critical thinking and decision-making capabilities across their workforce. The Platform provides structured learning content, assessments, challenges, and analytics related to business frameworks and cognitive skill development.

3. User Accounts

3.1 Account Creation

To access certain features of the Platform, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

For organizational deployments, your account may be created by your organization administrator, and your access is subject to your organization's policies and agreements with Socife.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to:

  • Create a strong password and keep it confidential
  • Restrict access to your account and device
  • Notify us immediately of any unauthorized access or use of your account
  • Ensure your account information is accurate and up-to-date

3.3 Account Termination

We reserve the right to suspend or terminate your account and your access to the Platform, with or without notice, for conduct that we determine violates these Terms, is harmful to other users or third parties, or is harmful to Socife's business operations.

For organizational deployments, your access may also be terminated by your organization's administrators according to their policies.

4. Subscription and Payment Terms

4.1 Subscription Options

The Platform offers various subscription tiers with different features, access levels, and pricing. The specific terms of your subscription will be presented at the time of purchase or enrollment.

For organizational deployments, subscription terms are governed by the agreement between Socife and your organization.

4.2 Payment

You agree to pay all fees associated with your subscription. All payment obligations are non-cancelable, and fees paid are non-refundable, except as otherwise expressly provided in these Terms or required by applicable law.

4.3 Subscription Changes

We reserve the right to change our subscription plans or adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole discretion. Any price changes will take effect following notice to you.

4.4 Cancellation

You may cancel your subscription at any time, but no refund will be provided for any unused portion of your current billing period. Following cancellation, your access to the Platform will continue until the end of your current billing period.

5. Intellectual Property Rights

5.1 Socife Intellectual Property

The Platform and its original content, features, and functionality are owned by Socife Technologies and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2 Limited License

Subject to these Terms, Socife grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your personal or internal business purposes.

5.3 Restrictions

You may not:

  • Copy, modify, or create derivative works based on the Platform
  • Decompile, reverse engineer, or attempt to extract the source code of the Platform
  • Remove any copyright, trademark, or other proprietary notices
  • Use the Platform in any manner that could damage, disable, or impair the Platform
  • Use automated scripts, bots, or other automated methods to access or scrape data from the Platform
  • Sublicense, sell, rent, lease, transfer, assign, or otherwise commercially exploit the Platform

5.4 User Content

You retain all rights to any content you submit, post, or display on or through the Platform ("User Content"). By submitting User Content, you grant Socife a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing and promoting the Platform.

For organizational deployments, user content may also be accessible to your organization according to the agreement between Socife and your organization.

6. Acceptable Use

6.1 Prohibited Conduct

You agree not to use the Platform for any purpose that is unlawful or prohibited by these Terms. Prohibited conduct includes, but is not limited to:

  • Violating any applicable law or regulation
  • Impersonating another person or entity
  • Submitting false or misleading information
  • Uploading or transmitting viruses, malware, or other malicious code
  • Interfering with the security or proper functioning of the Platform
  • Attempting to gain unauthorized access to the Platform or other users' accounts
  • Engaging in any activity that disrupts or interferes with the Platform
  • Using the Platform for competitive analysis or to build competing products
  • Harassment, abuse, or harm of other users

6.2 Content Standards

All User Content must comply with these Terms and must not:

  • Infringe any intellectual property rights of any person or entity
  • Contain any defamatory, obscene, offensive, or otherwise objectionable material
  • Promote discrimination, bigotry, racism, hatred, or harm against any individual or group
  • Contain any material that is unlawful or promotes unlawful activities
  • Involve commercial activities such as contests or advertising without prior approval

7. Disclaimers

7.1 Platform Availability

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Socife does not guarantee that the Platform will always be available, uninterrupted, timely, secure, error-free, or free from viruses or other harmful components.

7.2 Content Disclaimer

Socife does not endorse or assume responsibility for any User Content or third-party content available through the Platform. Educational content, frameworks, methodologies, and assessments provided through the Platform are for informational and learning purposes only.

7.3 Professional Advice Disclaimer

The Platform provides educational content related to business frameworks and cognitive skill development. This content is not intended as professional, financial, legal, or other specialized advice. You should consult with qualified professionals for advice tailored to your specific circumstances.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Socife Technologies, its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of or inability to access or use the Platform
  • Any conduct or content of any third party on the Platform
  • Any content obtained from the Platform
  • Unauthorized access, use, or alteration of your transmissions or content

In no event shall Socife's total liability to you for all claims exceed the amount paid by you or your organization to Socife for the Platform during the twelve (12) months preceding the event giving rise to the liability.

9. Indemnification

You agree to defend, indemnify, and hold harmless Socife Technologies, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.

10. External Links and Third-Party Content

The Platform may contain links to third-party websites or services that are not owned or controlled by Socife. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Socife shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Bangalore, India. The language of the arbitration shall be English.

11.3 Limitation Period

Any cause of action or claim you may have arising out of or relating to these Terms or the Platform must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.

12. Changes to Terms

We may revise these Terms at any time by posting an updated version on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Platform.

For material changes, we will make reasonable efforts to provide notice, such as through a prominent notice on the Platform or by sending an email to the address associated with your account.

13. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

14. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Socife on the Platform, constitute the entire agreement between you and Socife concerning the Platform and supersede all prior agreements and understandings, whether written or oral, regarding the Platform.
